WITNESSETH:

WHEREAS, NPR is the owner of certain patents for the "Method for Replacing Buried Pipe" commercially referred to as "Pipe Reaming" and/or "The InneReam® Pipeline Replacement System" defined hereunder; and



WHEREAS, Licensee desires to obtain a NON-EXCLUSIVE LICENSE to use the processes of the Patents;



NOW, THEREFORE, and in consideration of the mutual covenants and promises, the parties agree as follows:
